These Terms of Service (“Terms”) govern your access to and use of niiroo.com (the “Site”) and any products, services, or content offered by Millennials Group LLC, doing business as “Niiroo” (“Niiroo,” “we,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

You must be at least 18 years of age and legally capable of entering into a binding contract. By accessing or using the Site, you represent and warrant that you meet these requirements.

2. Account Registration

Certain features of the Site may require you to create an account. You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs through your account.

3. Orders, Pricing, and Availability

All orders are subject to acceptance and product availability. Prices, promotions, product descriptions, and availability may change at any time without prior notice.

We reserve the right to refuse, limit, or cancel any order. If a pricing, product information, or promotional error affects your order, we may cancel the affected order and issue a full refund of any amount paid.

4. Payment

You agree to provide current, complete, and accurate billing and payment information for all purchases made through the Site.

We accept the payment methods displayed during checkout. Unless otherwise stated, all prices are listed in United States Dollars (“USD”).

If you use a payment method or bank account issued outside the United States, your payment provider may apply currency conversion, international transaction, or other fees. Niiroo is not responsible for fees charged by your bank or payment provider.

Returns, refunds, exchanges, and cancellations are governed by our Return and Refund Policy. By placing an order through the Site, you acknowledge and accept those policies.

6. Product Information and Disclaimer

Niiroo products are intended for general lifestyle, home, pet, and personal use. Wellness-oriented products, including anti-snoring aids, earplugs, and infrared therapy devices, are intended solely for general comfort and lifestyle use and are not medical devices.

Statements made about our products have not been evaluated by the United States Food and Drug Administration or equivalent international regulatory agencies. Our products and related content are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Individual experiences and results may vary. You should consult a qualified healthcare provider before using a new wellness-oriented product, particularly if you are pregnant, nursing, taking medication, have an implanted medical device, or are managing a health condition.

Pet products are intended for use with healthy adult dogs and cats under appropriate owner supervision. Consult a veterinarian before introducing a new product if your pet has a medical condition, is taking medication, or has specific health or dietary needs.

7. Intellectual Property

All content made available through the Site, including text, graphics, logos, product names, images, photographs, videos, audio, software, page designs, and the “Niiroo” name and marks, is owned by or licensed to Niiroo and is protected by United States and international intellectual property laws.

Except as expressly permitted under these Terms, you may not copy, reproduce, modify, republish, upload, transmit, display, distribute, sell, license, or create derivative works from any Site content without our prior written consent.

You may access and use publicly available Site content solely for your personal and non-commercial use, provided that you do not remove or alter any copyright, trademark, or other proprietary notices.

8. User Content

If you submit reviews, comments, photographs, videos, testimonials, suggestions, or other content to or through the Site (“User Content”), you grant Niiroo a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, display, distribute, and create derivative works from that User Content in any format or media.

By submitting User Content, you represent and warrant that:

• You own the User Content or have all rights and permissions necessary to submit it;
• The User Content is truthful and accurate to the best of your knowledge;
• The User Content does not violate any copyright, trademark, privacy, publicity, contractual, or other right of a third party; and
• The User Content does not contain unlawful, defamatory, abusive, misleading, obscene, or malicious material.

9. Prohibited Uses

You agree not to use the Site to:

• Violate any applicable law, regulation, rule, or ordinance;
• Impersonate another person or entity or misrepresent your identity or affiliation;
• Transmit spam, unsolicited communications, viruses, malware, or other malicious code;
• Scrape, crawl, index, extract, or use automated tools to access the Site without our prior written consent;
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of any portion of the Site;
• Engage in fraudulent, deceptive, abusive, or otherwise unlawful conduct;
• Interfere with, disrupt, damage, or overload the Site, its servers, or connected networks;
• Attempt to gain unauthorized access to any account, computer system, network, or data;
• Collect, store, or disclose personal information about other users without authorization;
• Circumvent or attempt to circumvent security, access control, authentication, or usage restrictions;
• Resell, sublicense, commercially exploit, or otherwise misuse the Site or its content without our written consent; or
• Assist or encourage another person to engage in any prohibited activity.

10. Messaging, SMS, and Email Communications

By providing your phone number or email address, you consent to receive transactional communications from Niiroo, including order confirmations, shipping updates, account notices, security alerts, and customer service messages.

Where permitted by law and based on your consent or other applicable legal basis, you may also receive promotional or marketing communications.

Message and data rates may apply to SMS communications. Message frequency may vary.

You may opt out of marketing emails by clicking the “unsubscribe” link included in an email. You may opt out of promotional SMS messages by replying STOP.

You may continue to receive transactional or service-related communications while you have an active account, order, refund, return, dispute, or other ongoing relationship with Niiroo.

11. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Niiroo disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from a course of dealing, course of performance, or usage of trade.

Niiroo does not warrant that the Site will be uninterrupted, error-free, accurate, complete, secure, or free from viruses or other harmful components.

Some jurisdictions do not allow the exclusion of certain warranties. Therefore, some of the exclusions above may not apply to you, and you may have additional rights under applicable law.

12. Limitation of Liability

This limitation includes damages for loss of profits, revenue, business opportunities, data, goodwill, or other intangible losses arising from or relating to:

• Your access to, use of, or inability to use the Site;
• Your purchase, use, or inability to use a product;
• Unauthorized access to or alteration of your information;
• Statements, conduct, or content of any third party; or
• Any other matter relating to the Site, products, or services.

These limitations apply even if Niiroo has been advised of the possibility of such damages.

To the fullest extent permitted by law, Niiroo’s total aggregate liability arising out of or relating to the Site, products, services, or these Terms will not exceed the greater of:

1. The amount you paid to Niiroo during the six months immediately preceding the event giving rise to the claim; or
2. One hundred United States Dollars (US $100.00).

Some jurisdictions do not allow the limitation or exclusion of certain damages. As a result, some portions of this section may not apply to you.

13. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Niiroo and its affiliates, officers, directors, members, employees, contractors, representatives, and agents from and against any claims, liabilities, damages, judgments, losses, obligations, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your access to or use of the Site, products, or services;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Your violation of the rights of another person or entity; or
• Your User Content.

14. Binding Arbitration and Class Action Waiver

14.1 Agreement to Arbitrate

Except as otherwise provided in this section, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product or service provided by Niiroo (“Dispute”) will be resolved through binding individual arbitration rather than in court.

Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules.

The arbitration may be conducted in Orange County, Florida, or remotely by video conference, telephone, or another method approved by the arbitrator. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs the interpretation and enforcement of this arbitration agreement.

14.2 Class Action Waiver

Unless both parties agree otherwise in writing, the arbitrator may not consolidate the claims of more than one person or preside over any form of class, collective, consolidated, or representative proceeding.

14.3 30-Day Right to Opt Out

You may opt out of this arbitration agreement by sending a written notice to hello@niiroo.com with the subject line “Arbitration Opt-Out” within 30 days after your first use of the Site.

Your opt-out notice must include:

• Your full legal name;
• Your mailing address;
• The email address associated with your order or account, if applicable; and
• A clear statement that you wish to opt out of the arbitration agreement.

Opting out of arbitration will not affect any other provision of these Terms.

14.4 Exceptions

Either party may bring an eligible individual claim in small-claims court.

Claims seeking injunctive or equitable relief relating to intellectual property infringement, unauthorized access, data misuse, or unauthorized use of the Site may be brought in a state or federal court located in Orange County, Florida.

15. Governing Law and Jurisdiction

These Terms and any Dispute are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

Subject to Section 14, the exclusive jurisdiction and venue for any legal proceeding that is not subject to arbitration will be the state and federal courts located in Orange County, Florida. You consent to the personal jurisdiction of those courts.

16. Termination

We may suspend, restrict, or terminate your access to the Site or your account at any time, with or without prior notice, if we reasonably believe that:

• You violated these Terms or another applicable policy;
• You engaged in fraud, abuse, or unlawful activity;
• Your activity presents a security, legal, or reputational risk;
• You initiated fraudulent or abusive chargebacks; or
• Termination is necessary to protect Niiroo, its customers, or another party.

Provisions that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, arbitration, and governing law.

17. Modifications to These Terms

We may update or modify these Terms from time to time to reflect changes in our business, products, services, technologies, or legal obligations.

Material changes will be posted on this page with an updated Effective Date. Your continued use of the Site after revised Terms become effective constitutes acceptance of the updated Terms.

If you do not agree to the revised Terms, you must stop accessing and using the Site.

18. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent as closely as possible.

19. Entire Agreement

These Terms, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, and any other policies or notices expressly incorporated by reference, constitute the entire agreement between you and Niiroo regarding your use of the Site and your purchase of products.

These documents supersede all prior or contemporaneous communications, proposals, representations, or agreements regarding the same subject matter.
